Legal
Terms of Service
These Terms of Service (“Terms”) are a legally binding agreement between you and Negative Mass LLC, doing business as De-Cypher (“De-Cypher,” “we,” “us”), governing your use of the De-Cypher website, applications, AI features, conversation-analysis tools, dashboards, Teams features, APIs and related services (the “Service”). By creating an account, purchasing a subscription, clicking an acceptance button, or using the Service, you agree to these Terms and our Privacy Policy.
Effective September 10, 2026
IMPORTANT: DE-CYPHER USES ARTIFICIAL INTELLIGENCE AND AUTOMATED ANALYTICAL SYSTEMS. ITS OUTPUTS ARE PROBABILISTIC AND MAY BE INCOMPLETE, INCORRECT, OR MISLEADING. DE-CYPHER IS NOT A LIE DETECTOR AND DOES NOT DETERMINE TRUTH, DECEPTION, INTENT, CREDIBILITY, MENTAL STATE, GUILT, OR DANGEROUSNESS.
SECTION 20 CONTAINS A BINDING ARBITRATION AGREEMENT AND CLASS-ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS.
- 01
The Service
De-Cypher is an AI-assisted conversation-analysis platform designed to provide users with informational insights regarding verbal communications.
Depending on the version of the Service, De-Cypher may process conversations and generate analytical information concerning characteristics such as linguistic patterns, emotional indicators, tempo, consistency, communication risk, conversational dynamics, and similar signals.
The Service may include:
- live or recorded speech transcription;
- speaker differentiation or diarization;
- AI-generated conversational analysis;
- linguistic and communication metrics;
- consistency or integrity-related indicators;
- emotional or behavioral indicators;
- risk or aggression indicators;
- suggested responses or communication strategies;
- longitudinal analysis;
- session history and memory features;
- organizational or Teams dashboards;
- notifications or alerts;
- reports, summaries, exports, and visualizations; and
- additional features introduced by De-Cypher from time to time.
Features may vary according to subscription level, account type, jurisdiction, or product version.
- 02
AI outputs and analytical limitations
De-Cypher uses artificial intelligence, statistical analysis, speech-processing technology, machine-learning systems, and other automated technologies. You understand and agree that these technologies are inherently probabilistic.
De-Cypher does not know whether a person is telling the truth.
An “integrity,” “consistency,” “risk,” “emotion,” “aggression,” or similar score or indicator reflects patterns detected by the Service. It does not constitute a factual determination concerning the person being analyzed.
De-Cypher does not represent or warrant that its analysis can accurately determine:
- whether someone is lying or telling the truth;
- deception;
- honesty or dishonesty;
- credibility;
- intent or motive;
- guilt or innocence;
- psychological condition;
- mental-health status;
- future behavior;
- dangerousness;
- criminal activity;
- legal liability;
- medical conditions; or
- any other internal mental or emotional state.
Outputs may be affected by background noise, accents, cultural differences, speech patterns, disabilities, language differences, incomplete context, sarcasm, humor, transcription errors, speaker identification errors, technical limitations, or limitations inherent in artificial intelligence.
You are responsible for applying independent human judgment to every De-Cypher output.
- 03
No professional advice
The Service is provided for informational and communication-assistance purposes.
De-Cypher does not provide legal, medical, psychological, psychiatric, financial, investment, employment, human-resources, law-enforcement, investigative, or other licensed professional advice.
Nothing produced by De-Cypher should be treated as a substitute for advice from a qualified professional. You should not delay obtaining appropriate professional assistance because of information generated by De-Cypher.
- 04
Not an emergency or safety-monitoring service
De-Cypher is not an emergency service, crisis-response service, security service, law-enforcement service, or real-time threat-monitoring service.
Even where De-Cypher identifies elevated “risk,” “aggression,” or similar indicators, the Service does not guarantee that:
- a dangerous situation will be detected;
- an alert will be generated;
- an alert will be accurate;
- an alert will be delivered in time; or
- any person will review or respond to an alert.
If you believe someone is in immediate danger or an emergency is occurring, contact the appropriate emergency services directly.
Never rely on De-Cypher to prevent physical injury, violence, self-harm, criminal activity, property damage, or other emergencies.
- 05
Consent to record, transcribe, and analyze communications
This section is a material condition of using De-Cypher.
Laws concerning recording, interception, transcription, monitoring, and analysis of communications differ between jurisdictions. Certain jurisdictions require the consent of every participant in a conversation.
You are solely responsible for determining and complying with the laws applicable to every conversation you submit to or process through De-Cypher.
Before using De-Cypher to capture, transmit, record, transcribe, monitor, or analyze another person’s communications, you represent and warrant that:
- you have the lawful authority to do so;
- you have provided every notice required by applicable law;
- you have obtained the prior consent of every participant whenever such consent is required;
- any consent obtained is valid for the manner in which De-Cypher will process the communication; and
- your use of the communication through the Service does not violate any person’s privacy, publicity, confidentiality, employment, contractual, intellectual-property, or other rights.
WHERE APPLICABLE LAW REQUIRES ALL-PARTY CONSENT, YOU MUST OBTAIN THE CONSENT OF ALL PARTICIPANTS BEFORE ACTIVATING DE-CYPHER.
If a participant refuses or withdraws consent, you must discontinue the applicable recording, transcription, or analysis unless continued use is otherwise clearly lawful.
You may not use De-Cypher for covert or unlawful surveillance. De-Cypher does not provide legal advice regarding whether recording or analyzing a particular conversation is lawful.
- 06
Your content
“User Content” means audio, speech, recordings, transcripts, text, documents, prompts, account information, communications, files, or other information you provide to or process through the Service.
As between you and De-Cypher, you retain your ownership rights in your User Content.
You grant De-Cypher a worldwide, nonexclusive license to host, transmit, reproduce, process, analyze, format, and otherwise use User Content as reasonably necessary to provide, maintain, secure, troubleshoot, and improve the Service, subject to our Privacy Policy and applicable law.
Any use of User Content for model development, generalized AI training, product improvement, or similar purposes will be governed by the Privacy Policy, applicable account settings, additional disclosures presented to you, and applicable law.
You represent that you have all rights and permissions necessary to provide User Content to De-Cypher.
- 07
Sensitive and confidential information
Conversations analyzed using De-Cypher may contain private, confidential, commercially sensitive, privileged, medical, financial, employment-related, or otherwise sensitive information. You are responsible for determining whether use of the Service is appropriate for such information.
Uploading information to De-Cypher does not, by itself, create an attorney-client relationship, physician-patient relationship, privilege, fiduciary relationship, or other protected professional relationship with De-Cypher.
Unless De-Cypher has entered into a separate written agreement expressly providing otherwise, you should not assume that use of the Service satisfies industry-specific obligations applicable to regulated data.
- 08
Biometric identification
De-Cypher is not intended to function as a biometric identification or authentication system.
You may not use the Service to create biometric identification systems, identify individuals through biometric characteristics, build biometric databases, or otherwise engage in biometric processing prohibited by applicable law.
Any feature that expressly involves biometric information will be subject to additional disclosures, consents, policies, or agreements where required.
- 09
Teams and organizational accounts
Organizations may use De-Cypher to provide accounts to employees, contractors, representatives, customer-service agents, sales personnel, or other authorized users.
Where an organization administers your account:
- the organization may control the account;
- administrators may be able to access certain session information, transcripts, analyses, reports, metrics, alerts, or account activity;
- the organization’s separate policies may apply; and
- your continued access may depend upon your relationship with that organization.
Organizations using De-Cypher are responsible for providing all legally required notices to their personnel and obtaining any legally required consent.
Organizations may use De-Cypher as one source of information for coaching, training, quality assurance, communication improvement, and operational oversight, subject to applicable law.
However, De-Cypher outputs should not be used as the sole or determinative basis for employment termination, disciplinary action, hiring, promotion, compensation, credit, housing, insurance, healthcare, educational admission, criminal investigation, or another decision producing significant legal or similarly significant effects concerning an individual.
Material decisions concerning individuals should involve appropriate human review and independent supporting information.
- 10
Eligibility and accounts
You must be at least 18 years old and legally capable of entering into a binding contract to create an individual De-Cypher account unless otherwise authorized by De-Cypher under a separate written arrangement.
You must provide accurate account information and maintain the security of your credentials. You are responsible for all activity occurring through your account unless caused by a security failure attributable to De-Cypher.
You must promptly notify us if you believe your account or credentials have been compromised.
You may not share account credentials in violation of your subscription terms or circumvent account, usage, or licensing restrictions.
- 11
Acceptable use
You may not use De-Cypher to:
- violate any law or regulation;
- unlawfully record, intercept, monitor, or surveil another person;
- stalk, harass, threaten, intimidate, exploit, or abuse another person;
- violate privacy or confidentiality rights;
- discriminate unlawfully against any person;
- impersonate another person or entity;
- fabricate, manipulate, or falsify evidence;
- falsely represent AI-generated analysis as an objective determination of truth;
- engage in fraud or deception;
- unlawfully collect sensitive personal information;
- develop prohibited biometric identification systems;
- interfere with or compromise the security or integrity of the Service;
- introduce malware or malicious code;
- scrape or systematically extract Service data without authorization;
- reverse engineer, decompile, or attempt to discover nonpublic source code, models, prompts, algorithms, or security mechanisms except where such restriction is prohibited by law;
- bypass usage restrictions, rate limits, security controls, or subscription limitations;
- use automated methods to access the Service in a manner not expressly authorized;
- resell or sublicense the Service except under an authorized commercial agreement;
- use the Service to develop or train a substantially competing product through unauthorized extraction of De-Cypher proprietary outputs or systems; or
- assist another person in doing any of the foregoing.
We may investigate suspected violations and suspend or terminate access where reasonably necessary to protect users, third parties, De-Cypher, or the integrity of the Service.
- 12
Intellectual property
The Service and all associated software, interfaces, designs, algorithms, methodologies, analytical frameworks, models, scoring systems, graphics, trademarks, logos, documentation, and other De-Cypher technology are owned by or licensed to Negative Mass LLC and are protected by applicable intellectual-property laws.
Except for the limited right to use the Service under these Terms, no rights are transferred to you.
You may use reports and outputs generated for you through the Service for lawful personal or internal business purposes, subject to these Terms and the rights of third parties whose information may appear in those outputs.
Feedback
If you provide suggestions, ideas, feature requests, recommendations, or other feedback concerning De-Cypher, you grant Negative Mass LLC a perpetual, irrevocable, worldwide, royalty-free right to use and incorporate that feedback without restriction or compensation.
- 13
Third-party services
De-Cypher may use or integrate third-party providers for functions such as:
- artificial intelligence;
- speech recognition;
- transcription;
- cloud computing;
- data storage;
- authentication;
- analytics;
- communications; and
- payment processing.
Your information may be processed by such providers as necessary to provide the Service and as described in our Privacy Policy.
De-Cypher is not responsible for third-party products or services outside its reasonable control.
- 14
Subscriptions, fees, and billing
Certain features require payment. Prices, subscription periods, usage limits, and included features will be disclosed during purchase or within your account.
Unless otherwise stated at checkout, paid subscriptions automatically renew for successive periods of the same duration until canceled.
You authorize De-Cypher and its payment processors to charge the payment method associated with your account for applicable subscription fees, taxes, and authorized charges.
You may cancel your subscription through the cancellation method made available by De-Cypher. Unless otherwise required by law, cancellation prevents future renewal and does not automatically generate a refund for the current subscription period.
Fees already paid are nonrefundable except:
- where required by law;
- where De-Cypher expressly agrees otherwise; or
- as provided in a specific written refund policy or promotional offer.
We may modify pricing prospectively. Material pricing changes affecting an existing recurring subscription will be communicated before the changed price is charged where required by law.
- 15
Changes to the Service
De-Cypher is an evolving technology platform. We may add, modify, replace, improve, limit, suspend, or discontinue features.
Analytical methodologies, models, scoring systems, interfaces, underlying service providers, and AI technologies may change over time. Previous and future analytical results therefore may not be directly comparable.
We do not guarantee that any particular feature, integration, model, score, or functionality will remain available indefinitely.
- 16
Beta and experimental features
Certain features may be designated beta, experimental, preview, early-access, or similar. Such features may contain additional errors, interruptions, inaccuracies, or limitations and may be modified or withdrawn at any time.
Experimental features are provided “AS IS” and should not be relied upon for material decisions.
- 17
Privacy and data
Our collection, use, storage, processing, disclosure, and retention of personal information are described in the De-Cypher Privacy Policy, which is incorporated into these Terms by reference.
You acknowledge that providing conversations to De-Cypher may result in processing information concerning people who do not themselves maintain a De-Cypher account. You are responsible for ensuring you have a lawful basis to provide such information to the Service.
- 18
Security
We may implement administrative, technical, and organizational measures designed to protect information processed through the Service. However, no internet-connected system, cloud platform, AI system, transmission method, or storage environment can be guaranteed to be completely secure.
You acknowledge and accept the inherent security risks associated with online services. You are responsible for maintaining independent copies of information you are legally or operationally required to retain.
- 19

YOU USE AND RELY UPON THE SERVICE AT YOUR OWN DISCRETION AND RISK.
Some jurisdictions do not permit certain warranty exclusions, so portions of this Section may not apply to you.
- 20
Dispute resolution; binding arbitration; class-action waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHT TO GO TO COURT.
A. Informal resolution
Before initiating arbitration or litigation, you and De-Cypher agree to attempt in good faith to resolve the dispute informally. A party seeking relief must send written notice describing the dispute, relevant account information, and requested resolution. The parties will have 30 days after receipt of the notice to attempt resolution.
B. Binding individual arbitration
Except for the exclusions below, any dispute, claim, or controversy arising from or relating to these Terms, the Service, or your relationship with De-Cypher that cannot be resolved informally will be resolved through binding individual arbitration rather than in court.
The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement. Arbitration shall be administered by the American Arbitration Association (“AAA”) under the rules applicable to the dispute, including applicable consumer rules where required.
The arbitrator may award the same individual remedies that would be available in court to the extent permitted by applicable law.
C. Exceptions
Either party may:
- bring an eligible individual claim in small-claims court;
- seek injunctive or equitable relief concerning infringement, misuse, or threatened infringement of intellectual-property rights; or
- pursue relief that applicable law expressly prohibits from being subjected to arbitration.
D. Class-action waiver
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND DE-CYPHER AGREE THAT CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLAIMANT, OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, COORDINATED, OR REPRESENTATIVE PROCEEDING.
Unless both parties agree otherwise, an arbitrator may not consolidate the claims of multiple individuals.
E. Arbitration opt-out
You may opt out of the arbitration agreement by delivering written notice to De-Cypher at support@de-cypher.ai within 30 days after first accepting these Terms. Your notice must include your name, the email associated with your account, and a clear statement that you wish to opt out of the De-Cypher arbitration agreement.
Opting out of arbitration will not affect the remaining provisions of these Terms.
F. Jury trial waiver
WHERE A DISPUTE IS PERMITTED TO PROCEED IN COURT, YOU AND DE-CYPHER WAIVE THE RIGHT TO A JURY TRIAL TO THE MAXIMUM EXTENT PERMITTED BY LAW.
- 21
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEGATIVE MASS LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF BUSINESS OPPORTUNITY, REPUTATIONAL DAMAGE, OR BUSINESS INTERRUPTION.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF NEGATIVE MASS LLC ARISING FROM OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO DE-CYPHER DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100).
These limitations apply regardless of the theory of liability and even if De-Cypher has been advised of the possibility of damages.
Nothing in these Terms excludes liability that cannot legally be excluded.
- 22
Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Negative Mass LLC and its members, managers, officers, employees, contractors, affiliates, and service providers from claims, liabilities, damages, judgments, losses, expenses, and reasonable attorneys’ fees arising from or relating to:
- your unlawful use of the Service;
- your User Content;
- your violation of these Terms;
- your violation of another person’s rights;
- your failure to obtain legally required recording, transcription, monitoring, or analysis consent;
- your unlawful surveillance or interception of communications;
- your representation or misuse of De-Cypher outputs;
- decisions you make based upon De-Cypher outputs; or
- your violation of applicable law.
De-Cypher reserves the right to control the defense of a matter subject to indemnification, and you agree to reasonably cooperate.
- 23
Suspension and termination
You may stop using De-Cypher at any time.
We may restrict, suspend, or terminate your access if we reasonably determine that:
- you violated these Terms;
- your use creates legal or security risk;
- you failed to pay amounts due;
- your activity threatens another person or the Service;
- your account is being used fraudulently;
- suspension is required by law; or
- continued provision of the Service is no longer reasonably practicable.
Where appropriate, we may provide notice and an opportunity to remedy a violation.
Upon termination, provisions that by their nature should survive will remain effective, including intellectual-property provisions, disclaimers, limitations of liability, indemnification, dispute resolution, and governing-law provisions.
- 24
Governing law
Except to the extent preempted by federal law or prohibited by mandatory law applicable to you, these Terms and your relationship with Negative Mass LLC are governed by the laws of the State of Florida, without regard to conflict-of-law principles.
For disputes not subject to arbitration, the parties consent to jurisdiction in the appropriate state or federal courts located in Orange County, Florida, subject to any mandatory consumer-protection law providing otherwise.
- 25
Changes to these Terms
We may update these Terms as the Service, technology, or applicable law changes. If we make a material change, we may provide notice through the Service, your account, email, or another reasonable method. The revised Terms will identify their effective date.
Where applicable law requires affirmative consent to a change, we will request it. Otherwise, continued use of the Service following the effective date of revised Terms constitutes acceptance of those Terms.
Changes will not retroactively alter the resolution of an existing dispute where prohibited by law.
- 26
Assignment
You may not assign or transfer your rights or obligations under these Terms without our written consent.
Negative Mass LLC may assign these Terms in connection with a merger, acquisition, financing, corporate restructuring, sale of assets, or transfer of the De-Cypher business, subject to applicable law.
- 27
Severability
If any provision of these Terms is determined to be invalid or unenforceable, that provision will be enforced to the maximum extent legally permissible and the remaining provisions will remain in effect.
- 28
No waiver
Failure by De-Cypher to enforce a provision of these Terms does not constitute a waiver of that provision or any other right.
- 29
Entire agreement
These Terms, the Privacy Policy, any applicable subscription terms, and any additional terms expressly agreed to between you and Negative Mass LLC constitute the entire agreement governing your use of the Service.
If you use De-Cypher under a separately executed enterprise or commercial agreement, that agreement will control to the extent it expressly conflicts with these Terms.
